Chair Ripple called the meeting to order at 3:09 p.m.

B. ROLL CALL

Directors present: Chair David Ripple, Jake Mackenzie, Allan Hemphill, Max Schlienger, and, by phone, Robert Simonson.

Staff present: Executive Director Max H. Bridges, Accountant Wade Fulton, and, by phone, General Counsel Christopher J. Neary, and Administrative Assistant Pamela Fishtrom.

C. AGENDA APPROVAL

Mr. Neary requested the addition of an Item under Conference with Legal Counsel – Existing Litigation – Benson vs. Railways, Inc.

Chair Ripple called for a vote to approve the Agenda with the requested change; all Directors responded affirmatively; motion carried.

Chair Ripple announced:

· Rail-Ways, Inc. filed for bankruptcy on April 17, 2001,

· Information was received from and direction given to Legal Counsel, and

· The Board authorized the filing of an interpleader action in the case of Benson vs. Rail-Ways, Inc.
